Short answer: A resale certificate is a document you give a supplier to show you are buying goods to resell, so the supplier does not charge you sales tax on that purchase. For Amazon wholesale buyers, the usual order is: register for a sales tax permit where required, complete the right state or multistate certificate, then upload it to each supplier before your first tax-free order.

Why wholesale buyers need resale certificates
When you buy inventory from a brand or an authorized distributor, the supplier is making a sale. Without a valid exemption document, many suppliers will charge sales tax on that sale, just as they would for a business buying supplies for its own use.
A resale certificate tells the supplier the goods are being bought for resale, not for your own use. California's tax agency, CDTFA, puts the supplier's side plainly in Publication 103: "When a seller accepts a valid resale certificate in good faith and in a timely manner, the seller does not owe tax on that sale." That protection is why most wholesale suppliers will not release tax-free pricing until a certificate is on file.

Step 1: The sales tax permit comes first
In many states, the resale certificate is tied to your sales tax registration. California is a clear example. CDTFA says a valid resale certificate must include:
- the name and address of the purchaser's business;
- "the purchaser's seller's permit number or an explanation stating why the purchaser is not required to hold a seller's permit";
- a description of the property to be purchased;
- a statement that the property is being purchased "for resale";
- the date of the document;
- the signature of the purchaser, an employee or an authorized representative.
So before you can issue a certificate, you need to know whether you must hold a permit, and in which states. Step 2: Understand per-state forms
There is no single national resale certificate. Each state decides what it accepts. Two examples show how much they differ:
California
CDTFA does not require one specific form. It says "any document, including a letter, note, purchase order, or preprinted form, can serve as a resale certificate" if it contains all the required elements. It offers an optional template, form CDTFA-230.
Texas
The Texas Comptroller publishes Form 01-339, the Texas Sales and Use Tax Resale Certificate. The form asks for the purchaser's Texas sales tax permit number or, for an out-of-state retailer, the out-of-state permit or registration number issued by the purchaser's home state. The Comptroller also explains that a blanket resale certificate, describing the general nature of the items bought for resale, can cover repeat purchases and remains valid until the purchaser revokes it in writing.
Other states have their own forms, their own required fields and their own rules on whether they accept out-of-state registrations. Always start from the form on the state revenue website for the state where the sale is sourced.
Step 3: Know what the multistate certificates do
Two multistate certificates can reduce paperwork when you buy from suppliers in several states. Neither replaces the need to check each state's rules.
The Streamlined Sales Tax (SST) Certificate of Exemption
The Streamlined Sales Tax Governing Board says its Certificate of Exemption and instructions "are accepted by all 24 Streamlined member states." Resale is one of the exemption reasons on the form. The SST guidance says purchasers should give the completed certificate to their supplier and keep a copy, and that if registration is required in the state where you claim the exemption, you provide that state's ID number. In some cases, an ID number issued by another state may be used instead; the form's instructions set out when.
The MTC Uniform Sales & Use Tax Resale Certificate
The Multistate Tax Commission says its Uniform Sales & Use Tax Resale Certificate is one that "36 States have indicated can be used as a resale certificate." The certificate itself lists the states that accept it and sets out "specific requirements and limitations on its use." The MTC adds that for questions about acceptance in a particular state, "you should talk to the revenue department of that state." The current version was updated as of October 14, 2022.

Step 4: Supplier upload practice
Getting the certificate right is half the job. The other half is getting it to every supplier, in the format they want, before you order.
A practical routine for Amazon wholesale buyers:
- Ask before the first order. When a new supplier account is approved, ask which form they accept and how to submit it: account portal upload, email or their own onboarding form.
- Match every detail to your records. The legal business name, address and permit number on the certificate should match your registration exactly. Mismatches cause rejections and delays.
- Describe the goods accurately. Some states, such as Texas, allow a blanket certificate that describes the general nature of the items you buy for resale. Follow each state's rules on how specific the description must be.
- Keep a certificate log. Record the supplier, state, form used, date sent and any expiry or renewal date the supplier or state sets.
- Check the first invoice. If sales tax still appears, contact the supplier before paying. It usually means the certificate was not attached to your account.
- Keep copies and update them. SST guidance tells purchasers to keep a copy. A new address, permit number or state registration means new certificates.
What a resale certificate does not cover: it is for goods you are buying to resell. It is not a general exemption for business supplies or equipment you use yourself. Using the wrong document, or using a certificate for purchases that do not qualify, can create audit exposure for both you and your supplier.
How this fits a non-US seller with a US LLC
Owning your LLC from outside the US does not change the state rules. A supplier and a state look at the business that is buying: its registration, its permit numbers and what it intends to do with the goods.
